Azzas: Arezzo and Grupo Soma negotiate separation

The major merger between the Arezzo and Soma groups, completed just eight months ago, is about to undergo a major turnaround. The market was surprised this Friday, March 14, with rumors that Alexandre Birman, CEO of Azzas 2154, and Roberto Jatahy, co-founder of the Soma group, were already taking steps to undo the merger. This decision could bring significant changes to the fashion market and impact the future of several brands involved, including Hering, which, according to sources, is expected to be taken over by Arezzo after the split.

The news caused a sharp 10% drop in Azzas 2154 shares, which were among the biggest losers on the day. This shows how unsuccessful negotiations or disagreements between those involved in mergers can directly affect the valuation and market value of companies. In the specific case of Azzas, which is valued at R$4.96 billion on the B3, the share fell from R$50 to R$24, reflecting a more challenging financial scenario for shareholders.

This “divorce” movement between major fashion players does not happen without costs and challenges. The process is being managed with the help of legal and financial advisors, such as Morgan Stanley and Spinelli Advogados, to ensure that the operation takes place legally and efficiently, considering all the financial and legal aspects involved. A situation like this reinforces the importance of having specialized legal advice from the beginning of the brand's formation, during the merger or acquisition phase and also in delicate moments such as the separation of the parties.

Fashion Law becomes essential in this scenario, since it involves complex contracts, share negotiations and legal protections for those involved. A lawyer specialized in Fashion Law can be crucial in mediating disputes, analyzing agreements and ensuring that the interests of the company and its founders are duly protected.

The case of the merger and possible spin-off between Arezzo and Grupo Soma exemplifies the complexity of operations in the corporate world of fashion, where the financial and legal impact can be significant. From the beginning of the company's formation, through the merger of businesses and reaching moments of crisis, such as the one we are currently experiencing, having the support of specialized legal counsel is vital for the success and protection of the brand.

Fashion brands must be advised by experienced lawyers at all stages of their operations to ensure legal compliance and the best strategy in all commercial decisions, both preventive and corrective.

If your brand is going through a period of expansion or merger, or if you are dealing with sensitive issues, specialized legal support is essential to ensure that risks are minimized and objectives are met.
